In the Practice Guide "Germany M&A" by Lexology Getting the Deal Through, BLD partner Michael Jakobs, LL.M. published a contribution entitled "Warranties, Indemnities and Insurance in M&A".
He presents the structure of typical warranties in Sale and Purchase Agreements (SPA) before dealing with the interaction of regulations in purchase contracts with W&I insurance. Jakobs also looks at current trends in this field of insurance. In his conclusion, he sees a continued high and further growing demand despite the increase in W&I insurance that can already be observed in Germany.
